These terms and conditions ("Agreement") govern the use of the online marketplace ("Marketplace") owned and operated by Buynary ("Company"), by users ("Users") accessing or using the Marketplace. By accessing or using the Marketplace, Users agree to be bound by the terms and conditions of this Agreement.

Definitions:

In this Agreement, unless the context otherwise requires, the following words have the following meanings:

(a) "Listing" means a product or service offered for sale on the Marketplace.

(b) "Seller" means a User who lists products or services for sale on the Marketplace.

(c) "Buyer" means a User who purchases products or services on the Marketplace.

User obligations:

(a) Users must be 18 years or older to use the Marketplace.

(b) Users must not use the Marketplace for any illegal or unauthorized purpose.

(c) Users must provide accurate and complete information when creating an account and when listing or purchasing products or services.

(d) Users are responsible for maintaining the security of their account and password.

(e) Users must not interfere with the proper functioning of the Marketplace.

Listings:

(a) Sellers are solely responsible for the accuracy, completeness, and legality of their Listings.

(b) Sellers must comply with all applicable laws and regulations, including consumer protection laws, and ensure that their Listings do not infringe the rights of any third party.

(c) The Company reserves the right to remove any Listing that it deems inappropriate or in violation of this Agreement.

Purchases:

(a) Buyers must pay the purchase price and any applicable taxes and shipping costs for products or services purchased on the Marketplace.

(b) Buyers may return products in accordance with the Seller's return policy.

(c) The Company is not responsible for any disputes between Buyers and Sellers.

Intellectual property:

(a) The Company owns all intellectual property rights in the Marketplace, including but not limited to trademarks, copyrights, and patents.

(b) Users must not use any intellectual property owned by the Company without prior written consent.

Disclaimers and limitations of liability:

(a) The Marketplace is provided on an "as is" and "as available" basis. The Company does not warrant that the Marketplace will be uninterrupted, error-free, or free of viruses or other harmful components.

(b) The Company is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Marketplace, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.

(c) The Company's liability for any claims arising out of or in connection with this Agreement is limited to the amount paid by the User for the products or services giving rise to the claim.

Termination:

The Company may terminate this Agreement at any time and for any reason. Upon termination, Users must immediately cease using the Marketplace.

Governing law and jurisdiction:

This Agreement is governed by the laws of New Zealand. Any disputes arising out of or in connection with this Agreement shall be resolved in the courts of New Zealand.

Amendments:

The Company may amend this Agreement at any time by posting the amended terms on the Marketplace. Users are responsible for reviewing the amended terms and continuing to use the Marketplace constitutes acceptance of the amended terms.
